Terms and Conditions
Transparency and security for your real estate investment in Georgia
1. Scope and Provider
1.1. These General Terms and Conditions (“Terms”) apply to the use of the website rebuildv.com, the creation and use of a customer account, the reservation of real estate units, the brokerage and sale of real estate, and the booking of paid additional services, in particular the “All-in package”.
1.2. The provider and contracting party is:
CryptoFlex LLC Ilia Chavchavadze Ave. No. 78-87 6010 Batumi, Georgia Identification number: 445757547 Brand name: Rebuild Realty Ventures Email: info@rebuildv.com
hereinafter referred to as “Rebuildv”, “we” or “us”.
1.3. Any deviating, conflicting or supplementary general terms and conditions of the customer shall become part of the contract only if and to the extent that Rebuildv has expressly agreed to their validity in writing.
2. Scope of Services and Contractual Relationships
2.1. Brokerage of Real Estate (Third-Party Properties)
Where Rebuildv brokers real estate from construction companies, developers or other third parties, the purchase agreement for the real estate is concluded exclusively between the customer and the respective seller, construction company or developer. In such cases, Rebuildv does not become a party to the real estate purchase agreement. The respective seller, construction company or developer is solely responsible for construction works, completion, adherence to deadlines, and any material or legal defects of the property.
2.2. Own Real Estate Sales by Rebuildv (Direct Sale, Preliminary Agreements and Installment Payments)
Where Rebuildv sells real estate in its own name or acts as the selling contractual party, these Terms shall apply in addition to, and subordinate to, the specific provisions of the individually concluded preliminary agreement, payment schedule, notarized agreement, purchase agreement or agreement subject to official registration.
In the case of off-plan projects, payment schedules or properties that have not yet been fully completed, a preliminary agreement or comparable contractual arrangement may initially be concluded. The final transfer or registration of ownership shall take place exclusively in accordance with the applicable law and the individually agreed contractual documents.
For purchases from third-party sellers, construction companies or developers, only the payment, due date and default provisions of the respective third-party seller shall apply, unless Rebuildv itself acts as the selling contractual party.
2.3. Non-Binding Nature of Information
Property descriptions, floor plans, price information, area calculations, completion dates and return calculations are based, insofar as they relate to brokered properties, on information provided by the respective sellers, construction companies or developers, or on market and forecast models. They do not constitute a legal assurance or a return guarantee.
2.4. No Legal, Tax or Financial Advice
The information provided on the website and in connection with brokerage activities does not constitute legal, tax or financial advice. Customers are advised to consult independent professional advisers where necessary.
3. Brokerage Costs and Paid Additional Services
Rebuildv’s brokerage activities are generally free of charge for the prospective buyer. In the event of a successful brokerage, Rebuildv receives a commission from the respective construction company, seller or developer. The customer shall only incur costs for expressly ordered additional services, in particular the “All-in package”, and for individually agreed services.
4. Customer Account
4.1. Registration of a customer account is required for making reservations and booking paid service packages.
4.2. The customer is obliged to provide complete and truthful information during registration and to protect their access credentials from third-party access.
4.3. The customer may request deletion of their customer account at any time. Statutory retention obligations for tax, commercial or corporate law purposes, in particular invoices and contractual documents, remain unaffected.
5. Reservation of Real Estate
5.1. The customer may make a non-binding reservation of real estate units displayed as available on the website. Unless expressly stated otherwise, the reservation is free of charge and does not create any obligation on the part of the customer to purchase, nor any entitlement to the subsequent conclusion of a purchase agreement.
5.2. A reservation does not constitute a guarantee of the actual, legal or economic availability of the real estate unit. In particular, Rebuildv does not warrant that the reserved unit will remain permanently available, can be sold on the stated terms, or will not be allocated to another person by the respective seller, construction company or developer.
5.3. As a rule, a reservation blocks the selected unit for other interested parties for 24 hours. Each customer may reserve a maximum of five units at the same time.
5.4. Rebuildv reserves the right to cancel reservations at any time, in particular if sellers, construction companies or developers allocate units to other persons, if price or availability information was incorrect, or if technical or organizational reasons make cancellation necessary.
6. “All-in package” and Other Services
6.1. The “All-in package” is a paid service for the organizational and coordination support of a specific real estate purchase. The exact scope of services is determined by the service description available on the website or in the customer account at the time of booking.
6.2. The service contract is concluded when the customer orders the package in the customer account by clicking the button “Order with obligation to pay” or another equivalent button clearly indicating a payment obligation.
6.3. Legal and notarial reviews, registrations or administrative procedures are carried out or prepared by independent, qualified lawyers, notaries or competent authorities, in particular the Public Service Hall. Rebuildv itself does not provide independent legal advice, but coordinates these services within the scope of the booked package.
6.4. The customer is obliged to provide all documents, powers of attorney and information required for the performance of the package in a timely, complete and truthful manner and to attend necessary appointments. Delays or additional expenses caused by missing, late or incorrect cooperation by the customer shall be borne by the customer.
7. Prices and Payment Terms for Services
7.1. The prices displayed on the website or in the customer account at the time of booking shall apply. Unless expressly stated otherwise, all prices include the applicable Georgian value added tax.
7.2. The invoice amount is due immediately upon conclusion of the contract or issuance of the invoice. Payment shall be made using the payment methods provided in the customer account or on the invoice, such as credit card, payment link or bank transfer.
7.3. Any fees for international bank transfers, credit card transactions or currency conversions shall be borne by the customer, provided that such fees are charged by banks, payment service providers or card issuers and are legally permissible.
8. Special Provisions for Direct Sales by Rebuildv (Installment Payments and Payment Default)
8.1. Scope
The provisions of this Section 8 apply exclusively to contracts, preliminary agreements or payment arrangements for the purchase of real estate in which Rebuildv itself acts as the selling contractual party, and only where payment in installments has been agreed between the parties.
8.2. Due Dates and Payment Method
The individual installments shall be paid on the due dates specified in the individual preliminary agreement, purchase agreement or payment schedule, free of charges and deductions, to the account specified by Rebuildv. Unless otherwise agreed, timely payment shall be determined by receipt of the payment in Rebuildv’s account.
8.3. Contractual Penalty and Reminder Fees
If the customer is wholly or partially in default with payment of an installment, Rebuildv shall be entitled to charge a contractual penalty from the day following the due date in the amount of 0.05% of the overdue installment amount for each day of default, unless another default provision has been agreed in the individual contract and to the extent legally permissible.
If mandatory law provides for a lower maximum amount, the maximum amount permitted by law shall apply instead. In addition, Rebuildv may charge a reasonable reminder fee or expense allowance of EUR 25 for each written reminder, unless the customer proves that no damage or substantially lower damage has occurred. Rebuildv reserves the right to claim proven higher damages caused by default.
8.4. Qualified Default and Right of Withdrawal
If the customer is in default with at least two consecutive installments or for a period of more than 30 calendar days with an amount equal to at least one monthly installment, Rebuildv shall be entitled, after setting an additional 14-day grace period without payment being made, to the extent legally permissible and unless otherwise agreed in the individual contract,
a) to declare the entire remaining debt under the purchase agreement or payment schedule immediately due and payable, or
b) to withdraw from the preliminary agreement, purchase agreement or payment arrangement.
8.5. Consequences of Withdrawal in the Case of Installment Purchases
In the event of withdrawal due to the customer’s payment default, the settlement, including any reversal of registrations or preliminary registrations, offsetting of compensation for use, and retention of agreed processing, administrative or cancellation fees, shall be governed by the detailed provisions of the respective preliminary agreement, purchase agreement or officially registered agreement. The customer’s statutory rights remain unaffected.
8.6. Transfer of Ownership and Registration
The final transfer or registration of full and unrestricted ownership rights in the property shall take place only after full payment of the entire purchase price, including any accrued contractual penalties, fees and ancillary costs, unless expressly agreed otherwise in the individual contract, such as conditional registration, preliminary registration, preliminary registration of ownership rights or another security structure under the applicable law.
9. Right of Withdrawal for Consumers in Relation to Services
9.1. Withdrawal Information for the “All-in package”
Consumers have the right to withdraw from the contract for the “All-in package” within 14 days without giving any reason. The withdrawal period is 14 days from the date of conclusion of the contract.
To exercise the right of withdrawal, the customer must inform Rebuildv of their decision to withdraw from this contract by means of a clear statement, for example by letter or email.
The withdrawal notice must be sent to:
CryptoFlex LLC / Rebuild Realty Ventures Ilia Chavchavadze Ave. No. 78-87 6010 Batumi, Georgia Email: info@rebuildv.com
To meet the withdrawal deadline, it is sufficient for the customer to send the notice of exercising the right of withdrawal before the withdrawal period expires.
9.2. Consequences of Withdrawal
If the customer withdraws from this contract, Rebuildv shall reimburse all payments received from the customer without undue delay and no later than 14 days from the day on which Rebuildv receives the notice of withdrawal from this contract. For this reimbursement, Rebuildv shall use the same means of payment that the customer used for the original transaction, unless expressly agreed otherwise with the customer.
9.3. Commencement of Services During the Withdrawal Period
The customer may expressly request that Rebuildv begins providing the service before the expiry of the 14-day withdrawal period. For this purpose, a separate confirmation by the customer, which must not be pre-selected, is required during the ordering process.
For this purpose, the ordering process includes in particular the following declaration:
“I expressly request that Rebuild Realty Ventures begins providing the All-in package before the expiry of the 14-day withdrawal period. I acknowledge that my right of withdrawal expires if Rebuild Realty Ventures fully performs the contract before the expiry of the withdrawal period. If I withdraw before full performance, I owe compensation for the services already provided up to the time of withdrawal.”
9.4. Early Expiry of the Right of Withdrawal
In the case of a contract for the provision of services, the right of withdrawal expires early if Rebuildv has fully performed the service and the performance of the service began only after the customer had expressly consented thereto and at the same time acknowledged that they lose their right of withdrawal upon full performance of the contract by Rebuildv.
9.5. Compensation for Services Commenced Early
If the customer has requested that the service begins during the withdrawal period, the customer shall pay Rebuildv a reasonable amount corresponding to the proportion of the services already provided up to the point at which the customer informs Rebuildv of the exercise of the right of withdrawal, compared with the full scope of services provided for in the contract.
9.6. Real Estate Purchase Agreements, Preliminary Agreements and Registrations
A real estate acquisition initiated through the website is not concluded by an informal online order. Depending on the structure of the transaction, the acquisition or preparation of the acquisition takes place through an individually concluded preliminary agreement, payment schedule, notarized agreement, purchase agreement or agreement subject to registration with the Public Service Hall.
Such real estate-related contracts, in particular contracts concerning ownership, land, co-ownership shares, registrations or the transfer of rights in rem, are subject to the form, registration and certification requirements of the applicable law. An informal withdrawal by email from an already validly concluded real estate purchase agreement is not possible unless the applicable law provides for a right of withdrawal.
10. Cancellation After Expiry of the Withdrawal Period
After expiry of the withdrawal period, reimbursement of the fee for the booked “All-in package” is excluded. This also applies if the customer decides not to proceed with the acquisition of the property or if the real estate purchase does not take place for reasons for which Rebuildv is not responsible.
The customer’s statutory rights in the event of non-performance, defective performance or a contractual breach attributable to Rebuildv remain unaffected.
11. Liability and Limitation of Liability
11.1. Rebuildv shall be liable without limitation for damage arising from injury to life, body or health, as well as for damage caused by intent or gross negligence on the part of Rebuildv, its legal representatives or vicarious agents.
11.2. In the event of a slightly negligent breach of essential contractual obligations, Rebuildv’s liability shall be limited to the typical, foreseeable damage. Essential contractual obligations are obligations whose fulfillment is necessary for the proper performance of the contract and on whose compliance the customer may regularly rely.
11.3. Liability for lost profits, indirect damages, consequential damages or unrealized return expectations is excluded to the extent legally permissible.
11.4. Rebuildv shall not be liable for breaches of duty, delays, insolvencies, construction delays, defects or poor performance by independent third parties, in particular construction companies, sellers, developers, notaries, lawyers, banks, payment service providers or authorities, unless Rebuildv is responsible for such circumstances. Rebuildv’s liability for its own fault in selection, coordination or organization remains unaffected.
12. Copyright and Intellectual Property
All content, texts, graphics, logos, images, audio and video clips, software and other materials provided on the website are the property of Rebuildv or the respective licensors and are protected by copyright. Any use beyond the intended use of the website requires the prior written consent of Rebuildv.
13. Data Protection
Personal data is processed in accordance with the applicable data protection laws. Further information is provided in the privacy policy on the website.
14. Applicable Law and Jurisdiction
14.1. The law of Georgia shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
14.2. If the customer is a consumer and has their habitual residence in the European Union or another country, the mandatory consumer protection provisions of that country remain unaffected by the choice of law, insofar as they cannot be derogated from by agreement.
14.3. If the customer is an entrepreneur, merchant or legal entity under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with this contract shall be Batumi, Georgia. For consumers, this applies only to the extent legally permissible; mandatory consumer jurisdiction rules remain unaffected.
15. Final Provisions
15.1. If any provision of these Terms is or becomes invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
15.2. These Terms may be made available in several languages. In the event of discrepancies, ambiguities or conflicts of interpretation between language versions, the German version shall prevail.
15.3. Rebuildv reserves the right to amend these Terms at any time for future contracts. Contracts already concluded shall be governed by the version valid at the time of conclusion of the contract.
